1. AGREEMENT TO TERMS
These Terms and Conditions ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you") and Sidenum ("we," "us," or "our"), concerning your access to and use of the Sidenum website and platform (collectively, the "Service").
By accessing or using the Service, you agree that you have read, understood, and agree to be bound by all of these Terms. If you do not agree with all of these Terms, then you are expressly prohibited from using the Service and you must discontinue use immediately.
Supplemental terms and conditions or documents that may be posted on the Service from time to time are hereby expressly incorporated herein by reference. We reserve the right, in our sole discretion, to make changes or modifications to these Terms at any time and for any reason.
We will alert you about any changes by updating the "Last Updated" date of these Terms, and you waive any right to receive specific notice of each such change. It is your responsibility to periodically review these Terms to stay informed of updates. You will be subject to and will be deemed to have been made aware of and to have accepted, the changes in any revised Terms by your continued use of the Service after the date such revised Terms are posted.
2. ELIGIBILITY
By using the Service, you represent and warrant that:
- You are at least 16 years of age or the minimum legal age required in your jurisdiction to use the Service
- You have the legal capacity and authority to enter into these Terms
- You are not a minor in the jurisdiction in which you reside, or if you are a minor, you have received parental consent to use the Service
- All registration information you submit is true, accurate, current, and complete
- You will maintain the accuracy of such information and promptly update such information as necessary
- You will not use the Service for any illegal or unauthorized purpose
- Your use of the Service will not violate any applicable law or regulation
If you are using the Service on behalf of an organization or entity, you represent and warrant that you are authorized to accept these Terms on their behalf.
3. ACCOUNT REGISTRATION
To access certain features of the Service, you must register for an account. When you register, you agree to:
- Provide accurate, current, and complete information
- Maintain the security of your password and account
- Notify us immediately of any unauthorized use of your account
- Accept responsibility for all activities that occur under your account
Account Security:
You are responsible for maintaining the confidentiality of your account credentials. We are not liable for any loss or damage arising from your failure to protect your account information.
Account Integrity:
You may not create multiple accounts to abuse the Free Tier or engage in fraudulent activity. We reserve the right to suspend or terminate accounts that violate this policy.
4. DIGITAL PRODUCTS AND CREDIT PACKS
4.1 What You're Buying
Sidenum offers digital credit packs that provide access to AI-powered learning content, including personalized learning roadmaps and interactive simulations (exams, lectures, practice sessions).
4.2 Available Packages
We offer:
- Free Tier (no purchase required)
- Pack 1 — Basic
- Pack 2 — Pro

4.3 Key Terms
- Credits are valid for 12 months from the date of purchase
- Unused credits expire after 2 months without refund
- Credits are deducted when you generate roadmaps or start simulations
- Regional pricing applies based on your geographic location
- Credits have no cash value and cannot be exchanged for real currency
5. MERCHANT OF RECORD AND PAYMENT PROCESSING
5.1 Merchant of Record and Payment Processing
Important: Payments for digital products and credit packs may be processed by Sidenum directly or by an authorized third-party payment processor or Merchant of Record ("Payment Provider"), depending on your region, payment method, or checkout flow. The entity acting as the Merchant of Record for a particular transaction will be clearly identified at checkout.
What This Means:
- The Payment Provider may process payments, billing, and transaction-related operations on our behalf
- The Payment Provider may calculate, collect, and remit applicable taxes (including VAT, GST, and sales tax) where required by law
- Payment-related customer service inquiries may be handled by us, the Payment Provider, or both, depending on the nature of the issue
- Refunds may be issued by us directly or processed through the Payment Provider, subject to our Refund Policy
- By completing a purchase, you agree to the terms and privacy policy of the applicable Payment Provider identified at checkout
- Charges may appear on your billing statement under the name of the applicable Payment Provider or a descriptor associated with the Service
5.2 Accepted Payment Methods
We may accept various payment methods, depending on your location and the Payment Provider available at checkout, including:
- Credit cards (Visa, Mastercard, American Express, etc.)
- Debit cards
- PayPal
- Apple Pay
- Google Pay
- Other local or alternative payment methods depending on your region
5.3 Taxes
Sales tax, value-added tax (VAT), goods and services tax (GST), or other applicable taxes may be added to the purchase price as required by law. Such taxes may be calculated and collected by Sidenum or by the applicable Payment Provider based on your billing location and applicable legal requirements.
5.4 Payment Authorization
By providing a payment method, you:
- Represent and warrant that you are authorized to use the designated payment method
- Authorize Sidenum and/or the applicable Payment Provider to charge your payment method for the total amount of your purchase
- Authorize Sidenum and/or the applicable Payment Provider to charge any additional amounts for taxes, currency conversion, or legally required fees where applicable
- You agree that your payment method may be charged immediately upon confirmation of the transaction
5.5 Failed Payments
If a payment fails, is reversed, is disputed, or cannot be successfully completed, we may:
- Suspend or limit access to purchased credits or paid features
- Attempt to process the payment again, where permitted
- Cancel the order if payment cannot be completed
- Delay the delivery of digital products until payment is successfully confirmed
6. REFUNDS AND CANCELLATIONS
All sales are subject to our Refund Policy, which is available at: refund_policy.html
Key Information:
- Refund eligibility depends on credit usage and time since purchase
- EU/UK/EEA residents have a 14-day refund window
- USA and other regions have a 7-day refund window
- Refunds are prorated based on credit usage
- No refunds for credits used over 80%

7. INTELLECTUAL PROPERTY RIGHTS
7.1 Service Content
Unless otherwise indicated, the Service is our proprietary property and all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the Service (collectively, the "Content") and the trademarks, service marks, and logos contained therein (the "Marks") are owned or controlled by us or licensed to us.
The Service Content is protected by:
- Copyright laws
- Trademark laws
- Patent laws (where applicable)
- Trade secret laws
- Other intellectual property rights and unfair competition laws of Ukraine, foreign jurisdictions, and international conventions
7.2 Your License to Use the Service
You are granted a limited, non-exclusive, non-transferable, revocable license to:
- Access and use the Service for your personal or internal business use
- Download, view, and print Content that you have legitimately purchased or accessed through your credits
You may NOT:
- Copy, reproduce, aggregate, republish, upload, post, publicly display, encode, translate, transmit, distribute, sell, license, or otherwise exploit any part of the Service for any commercial purpose without our express prior written permission
- Modify, adapt, or create derivative works based on the Service or Content
- Use any automated system (including robots, scrapers, or data mining tools) to access the Service
- Remove, alter, or obscure any copyright, trademark, or other proprietary rights notices
7.3 AI-Generated Content Ownership
Content generated through our Service (learning roadmaps, simulations, exam plans, etc.) is created using artificial intelligence technology provided by third-party AI service providers.
Your Rights:
- You retain ownership of AI-generated content created through your account for personal and educational use
- You may download and export your generated content (including PDF format)
- You may use the content for your personal learning, education, or internal business training
We do not guarantee that third parties will accept or recognize reports, certifications, or results generated through the Service.
Restrictions:
- You may NOT resell, redistribute, or commercially exploit AI-generated content
- You may NOT use generated content to train competing AI models or machine learning systems
- You may NOT claim that AI-generated content was created entirely by you without acknowledging AI assistance
- You may NOT use generated content in ways that violate applicable laws or regulations
No Warranty on AI Content: AI-generated content is provided "as-is" without guarantee of accuracy, completeness, or suitability for any particular purpose. You are solely responsible for evaluating and verifying AI-generated content before using it.
Feedback and Improvements: We may use anonymized, aggregated data from AI interactions to improve our Service, train our models, and enhance user experience. This does not include your personal information.
8. USER-GENERATED CONTENT
8.1 Your Submissions
The Service may allow you to submit content, including:
- Profile information
- Course evaluations and ratings
- Comments and questions
- Files and documents (resumes, certificates, etc.)
- Chat messages and forum posts
By submitting content to the Service, you grant us a non-exclusive, worldwide, royalty-free, perpetual, irrevocable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such content in connection with operating and providing the Service.
8.2 Content Standards
You agree that all content you submit:
- Is accurate and not misleading
- Does not violate any third party's rights (including intellectual property rights)
- Does not contain illegal, harmful, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable material
- Does not contain viruses, malware, or other harmful code
8.3 Content Moderation
We reserve the right (but not the obligation) to:
- Monitor, review, and remove user-generated content
- Suspend or terminate accounts that violate content standards
- Report illegal content to law enforcement authorities
9. PLATFORM FEATURES AND YOUR CONTENT
9.1 Learning and Career Development Features
Roadmap Generation:
- Generate personalized AI-powered learning roadmaps based on your career goals
- Receive adaptive questionnaires tailored to your profession and experience level
- Access industry-specific and niche-specific learning paths
- Receive competency assessments and skill gap analysis
Simulations and Practice:
- Participate in interactive simulations, exams, and practice sessions
- Receive real-time performance feedback and scoring
- Track your progress across multiple simulations
- Review past simulation results and performance history
Learning Progress Tracking:
- Monitor your learning journey with detailed analytics
- View progress dashboards showing completion rates and skill development
- Receive personalized recommendations based on your performance
- Track time spent on learning activities
9.2 Reports, Analytics, and Performance Data
Report Generation:
You can generate various types of reports through the Service:
- Learning Reports: Comprehensive summaries of your learning progress, including roadmap completion, simulation scores, and skill assessments
- Performance Analytics: Detailed breakdowns of exam results, competency levels, and improvement trends
- Achievements Summary: Portfolio of completed courses, certifications, and milestones
- Skills Assessment Reports: AI-generated evaluations of your competencies and recommendations
Report Ownership:
- You own the reports generated from your learning activities
- Reports contain your personal performance data and learning history
- You may download reports in PDF format for personal use
Report Sharing:
You have the option to share your reports with others:
- Public Portfolio: Enable a public profile with a unique URL to showcase your achievements
- Direct Sharing: Send reports to potential employers, recruiters, or educational institutions
- LinkedIn Integration: Share achievements and certifications on your LinkedIn profile (requires consent)
- Employer Access: If affiliated with a company, company administrators may access your reports (see Section 9.5)
Privacy Controls:
- You control which reports and data are public or private
- You can revoke access to shared reports at any time
- You can disable public portfolio visibility in your account settings
- Third-party access (employers, recruiters) requires your explicit consent
Important: While you may share reports, you may not alter, falsify, or misrepresent the data contained in AI-generated reports. Tampering with report data violates these Terms and may result in account termination.
9.3 Job Applications and Career Services
Job Vacancy Search:
- Browse job postings from employers using the platform
- Filter vacancies by industry, location, experience level, and skills
- View detailed job descriptions and requirements
Application Submission:
- Apply to job vacancies directly through the Service
- Attach your learning reports and achievement portfolio to applications
- Upload resume/CV and supporting documents
- Track the status of your applications
Employer Interaction:
- Employers may view your public profile if you enable it
- Company recruiters may contact you through the platform
- You may receive interview invitations and feedback through the Service
Your Rights:
- You control which information is visible to employers
- You may withdraw applications at any time
- You may block specific employers from viewing your profile
- We do not guarantee job placement or interview opportunities
Employer Responsibilities:
- Employers must comply with applicable employment and anti-discrimination laws
- We are not responsible for employer conduct or hiring decisions

9.4 Achievements, Certifications, and Portfolio
Achievement System:
- Earn achievements and badges for completing learning milestones
- Unlock certifications for skill mastery and course completion
- Build a visual portfolio of your learning journey
Public Portfolio:
If you enable the public portfolio feature:
- Your achievements, certifications, and learning progress will be visible via a unique URL
- You can share this URL on social media, resumes, or with potential employers
- Your portfolio may include: learning roadmaps completed, simulation scores, skills acquired, certifications earned
LinkedIn Integration (Optional):
- Connect your LinkedIn account to import profile information
- Share Sidenum achievements and certifications on your LinkedIn profile
- Display learning progress and skills on your LinkedIn page
- We only access LinkedIn data you explicitly authorize (see our Privacy Policy)
Certificates of Completion:
- For certain courses and learning paths, you may receive digital certificates
- Certificates include verification codes to confirm authenticity
- You may download and share certificates for professional purposes
- Falsifying or tampering with certificates is strictly prohibited
Professional Use:
- You may include Sidenum achievements and certifications on your resume/CV
- You may reference your learning on job applications and professional profiles
- You must accurately represent your completion status and scores
- Misrepresentation of achievements may result in account termination and reporting to relevant parties
9.5 Enterprise and Company Features
If you are using Sidenum through a company or organization (Enterprise features):
Company Affiliation:
- You may be affiliated with a company as an employee, candidate, or team member
- Your affiliation is established when you accept a company invitation or are added by a company administrator
- You can view your company affiliation in your account settings
Company Administrator Access:
- Company administrators, regional owners, and recruiters may access your learning data within their organizational scope
- Accessible data includes: learning progress, simulation results, exam scores, competency assessments, and performance analytics
- Company administrators can generate reports and analytics for team management and recruitment purposes
Employee Learning Management:
- Companies can assign learning paths and required courses
- Track team learning progress and completion rates
- Companies can use your data for performance reviews and professional development planning
Recruitment and Candidate Evaluation:
- If you apply to a job posted by a company, that company can access your application materials and public profile
- Companies can evaluate candidates based on skills, assessments, and learning history
- Candidate data is retained according to applicable employment and data protection laws
Your Rights:
- You can view which companies have access to your data
- You can request information about how companies use your learning data
- You may withdraw from company affiliation (this may affect your employment relationship)
- Company access is subject to data protection agreements and Privacy Policy
Company Responsibilities:
- Companies must comply with employment laws, anti-discrimination regulations, and data protection laws
- Companies may not use your learning data for purposes unrelated to employment or professional development
- We are not responsible for company decisions regarding employment, promotion, or termination
9.6 Social and Collaborative Features
Teacher-Student Interactions:
- Students can enroll in courses taught by approved teachers
- Teachers can track student progress and provide feedback
- Communication between teachers and students is facilitated through the platform
Support and Feedback:
- You may contact support for technical assistance
- You may provide feedback on courses, simulations, and platform features
- You may participate in surveys and beta testing programs (optional)
Community Guidelines:
- Interactions with other users (teachers, employers, students) must be respectful and professional
- Harassment, discrimination, or abusive behavior is strictly prohibited
- We reserve the right to moderate and remove inappropriate content or communications
9.7 Data Export and Portability
Exporting Your Data:
You have the right to export your personal data and learning records:
- Account Data: Profile information, settings, and preferences
- Learning History: Roadmaps, simulations completed, and progress tracking
- Reports: All generated reports and analytics in PDF or JSON format
- Achievements: Certificates, badges, and portfolio items
How to Request Export:
- Navigate to Account Settings → Data Export, or
- Email symonenko.m@sidenum.com with subject "Data Export Request"
- We will provide your data within 30 days in a portable, machine-readable format
Data Portability Rights:
Under GDPR and other privacy laws, you have the right to:

- Transmit your data to another service provider (where technically feasible)
- Request transfer of data directly to another provider (where technically feasible)
10. PROHIBITED ACTIVITIES
You may not access or use the Service for any purpose other than that for which we make the Service available. As a user of the Service, you agree NOT to:
Technical Restrictions:
- Systematically retrieve data or other content from the Service to create or compile a collection, compilation, database, or directory without written permission
- Circumvent, disable, or otherwise interfere with security-related features of the Service
- Delete the copyright or other proprietary rights notice from any Content
- Attempt to impersonate another user or person or use the username of another user
- Upload or transmit viruses, Trojan horses, or other malicious code
- Use any automated system (bots, scrapers, spiders) to access the Service
- Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code of the Service
Abuse and Fraud:
- Create multiple accounts to abuse the Free Tier or promotional offers
- Share your account credentials with others or allow others to use your account
- Engage in credit fraud, chargeback abuse, or payment manipulation
- Use stolen payment methods or fraudulent payment information
- Manipulate or exploit bugs, glitches, or vulnerabilities in the Service for personal gain
Commercial Misuse:
- Resell, redistribute, or commercially exploit AI-generated content without permission
- Use the Service to train competing AI models or develop competing products
- Offer the Service or its features to third parties as a service
- Frame or link to the Service in a way that suggests affiliation or endorsement without permission
Illegal Activities:
- Use the Service for any illegal or unauthorized purpose
- Violate any international, federal, provincial, or state regulations, rules, laws, or local ordinances
- Infringe upon or violate our intellectual property rights or the intellectual property rights of others
- Harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate based on gender, sexual orientation, religion, ethnicity, race, age, national origin, or disability
Platform Integrity:
- Interfere with, disrupt, or create an undue burden on the Service or networks connected to the Service
- Engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Service
- Use any information obtained from the Service to harass, abuse, or harm another person
- Make improper use of our support services or submit false reports of abuse or misconduct
Violation Consequences:
Violation of any of these prohibited activities may result in:
- Immediate suspension or termination of your account
- Forfeiture of all unused credits without refund
- Legal action, including pursuit of civil and criminal penalties
- Reporting to law enforcement authorities
11. SERVICE AVAILABILITY AND UPTIME
11.1 Uptime Commitment
We strive to maintain 99.5% uptime (approximately 43 hours of allowed downtime per year). However, the Service may be subject to:
- Scheduled maintenance (announced 48 hours in advance)
- Emergency maintenance and security updates
- Third-party service interruptions (AI service providers, hosting providers, etc.)
- Force majeure events (see Section 17)
11.2 No Guarantee of Uninterrupted Service
We do not guarantee that:
- The Service will be available at all times or without interruption
- The Service will be error-free or that defects will be corrected
- The Service will be free from viruses or other harmful components
- Results obtained from use of the Service will be accurate or reliable
11.3 Downtime Compensation
If the Service experiences significant downtime, you may be eligible for compensation as outlined in our Refund Policy, Section 6 (Downtime Compensation Policy).
12. EU/UK CONSUMER RIGHTS
If you are a resident of the European Union, United Kingdom, or European Economic Area, you have additional rights under EU Consumer Rights Directive 2011/83/EU and UK Consumer Rights Act 2015.

- 14-day right of withdrawal for purchases
- Exception for digital content with immediate delivery (if you consent)

These Terms do not affect your statutory rights as a consumer under EU/UK law.

13.2 Key Third-Party Services
Our Service may use the following third-party services to operate, improve, and deliver functionality:
- Payment Providers / Merchant of Record: Payment processing, billing, tax handling, fraud prevention, and transaction support
- AI Service Providers: Third-party AI technology for generating learning content, simulations, and recommendations
- Cloud Storage Providers: Storage of user files, generated content, and related media
- Email Service Providers: Transactional emails, account notifications, support communications, and service announcements
- Analytics and Infrastructure Tools: Performance monitoring, error tracking, and service reliability
Each of these services may operate under its own terms and privacy policy. We are not responsible for the independent privacy or security practices of third-party providers, except as required by applicable law.
13.3 Your Data Rights
Depending on your location, you may have rights to:

- Request deletion of your data

14. ACCOUNT TERMINATION AND SUSPENSION
14.1 Termination by Us
We reserve the right to suspend or terminate your account immediately, without prior notice and access to the Service, with or without notice, if you:
- Violate these Terms or our Refund Policy
- Engage in prohibited activities (see Section 10)
- Abuse the Service (credit fraud, multiple free accounts, etc.)
- Fail to pay amounts owed
- Provide false or misleading information
- Engage in conduct that we determine, in our sole discretion, is harmful to the Service or other users
Consequences of Termination:
- Immediate loss of access to the Service
- Forfeiture of all unused credits without refund (except in cases of our breach)
- Deletion of your account and associated data (subject to legal retention requirements)
- Prohibition from creating new accounts
14.2 Termination by You
You may close your account at any time by contacting us at symonenko.m@sidenum.com.
Effects of Your Termination:
- Unused credits may be eligible for refund if within the refund window (see our Refund Policy)
- After the refund window, unused credits are forfeited
- Access to previously generated content (roadmaps, simulations) will be retained for 30 days for download
- Your personal data will be deleted or anonymized in accordance with our Privacy Policy and legal requirements
14.3 Survival of Terms
Even after termination, the following sections will continue to apply:

- Section 15 (Disclaimers)
- Section 16 (Limitation of Liability)
- Section 17 (Indemnification)
- Section 19 (Governing Law and Dispute Resolution)
15. DISCLAIMERS
15.1 Service Provided "AS-IS"
THE SERVICE IS PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. You agree that your use of the Service and our services will be at your sole risk.
TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SERVICE AND YOUR USE THEREOF, INCLUDING, WITHOUT LIMITATION:
- The implied warranties of merchantability, fitness for a particular purpose, and non-infringement
- Warranties that the Service will be uninterrupted, error-free, secure, or virus-free
- Warranties regarding the accuracy, reliability, or completeness of any content or information provided through the Service
- Warranties that defects will be corrected
15.2 AI-Generated Content Disclaimer
AI-generated content (learning roadmaps, simulations, exam questions, etc.) is provided for educational and informational purposes only.
We make no warranties regarding:
- The accuracy, completeness, or reliability of AI-generated content
- The suitability of AI-generated content for any particular purpose
- The achievement of specific learning outcomes or career goals
You are solely responsible for evaluating and verifying AI-generated content before relying on it. AI models can produce errors, biases, or outdated information.
15.3 Third-Party Services
The Service may integrate with or rely on third-party services, including payment providers, AI providers, hosting services, cloud infrastructure, analytics tools, and email delivery services. We are not responsible for:
- The availability, accuracy, performance, or functionality of third-party services
- Changes, interruptions, or discontinuation of third-party services
- Delays, failures, or losses caused by third-party platforms or infrastructure
- Data breaches, security incidents, or unauthorized access occurring within third-party systems
15.4 Career and Educational Outcomes
We do not guarantee that using the Service will:
- Result in specific career advancement or job placement
- Improve your skills to a particular level
- Ensure acceptance into educational programs
- Lead to salary increases or promotions
Your results depend on many factors outside our control, including your effort, existing skills, market conditions, and employer decisions.
15.5 User-Generated Content
We are not responsible for:
- The accuracy, legality, or quality of user-generated content
- Interactions between users
- Content posted by third parties
16. LIMITATION OF LIABILITY
16.1 Exclusion of Damages
TO THE FULLEST EXTENT PERMITTED BY LAW:
IN NO EVENT WILL WE, OUR AFFILIATES, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY:
- Indirect, consequential, exemplary, incidental, special, or punitive damages

- Loss of goodwill or reputation

ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
16.2 Cap on Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
Our total liability to you for all claims arising from or related to the Service, whether in contract, tort, or otherwise, shall not exceed the greater of:
- $100 USD, or
- The total amount you paid to us in the 12 months preceding the claim
16.3 Exceptions
Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages. If these laws apply to you, some or all of the above disclaimers and limitations may not apply, and you may have additional rights.
This limitation of liability does not apply to:
- Our willful misconduct or gross negligence
- Death or personal injury caused by our negligence
- Fraud or fraudulent misrepresentation
- Any liability that cannot be excluded or limited under applicable law
16.4 Basis of the Bargain
You acknowledge that we have set our prices and entered into this agreement in reliance upon the disclaimers and limitations of liability set forth herein, and that they form an essential basis of the bargain between us.
17. INDEMNIFICATION
You agree to defend, indemnify, and hold harmless Sidenum, our affiliates, and our respective directors, officers, employees, agents, service providers, contractors, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:
- Your violation of these Terms
- Your use or misuse of the Service
- Your violation of the rights of any third party, including intellectual property rights
- Your user-generated content or submissions
- Your violation of any law or regulation
- Fraudulent or illegal activity associated with your account
We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with us in asserting any available defenses.
18. FORCE MAJEURE
We will not be liable for any delay or failure to perform our obligations under these Terms if the delay or failure is due to causes beyond our reasonable control, including but not limited to:
- Acts of God (earthquakes, floods, fires, storms, etc.)
- War, terrorism, riots, embargoes, or civil unrest
- Government actions, orders, or restrictions
- Labor strikes or lockouts
- Pandemics or public health emergencies
- Failure of third-party services (AI providers, hosting providers, internet infrastructure, etc.)
- Cyberattacks, hacking, or security breaches
- Power outages or telecommunications failures
During a force majeure event, our obligations will be suspended for the duration of the event. We will make reasonable efforts to notify you and resume normal operations as soon as possible.
19. GOVERNING LAW AND DISPUTE RESOLUTION
19.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of Ukraine, without regard to its conflict of law provisions.
19.2 Jurisdiction for Non-EU/UK Users
For users outside the European Union and United Kingdom:
You and Sidenum irrevocably consent that the courts of Kyiv, Ukraine shall have exclusive jurisdiction to resolve any dispute arising out of or related to these Terms or the Service.
19.3 Jurisdiction for EU/UK Users
For users within the European Union and United Kingdom:
You may bring legal proceedings in:
- The courts of your country of residence (as provided by EU regulations), or
- The courts of Ukraine
This does not affect your rights under mandatory consumer protection laws in your country.
19.4 Dispute Resolution Process
Before filing any legal action, we encourage you to contact us at symonenko.m@sidenum.com to attempt to resolve the dispute informally. Many disputes can be resolved quickly and amicably through good-faith negotiation.
Informal Resolution Steps:
- Contact us with a detailed description of the dispute
- We will respond within 10 business days
- Both parties will attempt to resolve the dispute through negotiation for 30 days
- If unresolved, either party may pursue formal legal action
19.5 Class Action Waiver (Where Permitted)
To the extent permitted by law, you agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.
Note: This class action waiver may not be enforceable in some jurisdictions (including the EU/UK) and does not apply where prohibited by law.
20. CORRECTIONS AND UPDATES
There may be information on the Service that contains typographical errors, inaccuracies, or omissions, including but not limited to:
- Product descriptions
- Pricing
- Availability
- Features and functionality
We reserve the right to correct any errors, inaccuracies, or omissions and to change or update information on the Service at any time, without prior notice.
Price Errors:
If a product is listed at an incorrect price due to a typographical error or system malfunction, we reserve the right to:
- Cancel the order and issue a full refund
- Contact you to offer the correct price or a refund
We are not obligated to honor pricing errors.
21. SEVERABILITY
If any provision of these Terms is determined to be unlawful, void, or unenforceable by a court of competent jurisdiction, that provision shall be:
- Deemed severable from these Terms
- Not affect the validity and enforceability of any remaining provisions
The unenforceable provision will be modified to the minimum extent necessary to make it enforceable, or if that is not possible, it will be eliminated.
22. ENTIRE AGREEMENT
These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and Sidenum regarding your use of the Service and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Service.
23. WAIVER
Our failure to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. No waiver shall be effective unless made in writing and signed by an authorized representative of Sidenum.
A waiver of any breach of these Terms does not constitute a waiver of any subsequent breach.
24. ASSIGNMENT
You may not assign or transfer these Terms or your account, in whole or in part, without our prior written consent. Any attempted assignment or transfer without such consent will be null and void.
We may freely assign or transfer these Terms or our rights and obligations under these Terms without restriction.
These Terms will bind and inure to the benefit of the parties, their successors, and permitted assigns.
25. LANGUAGE
These Terms are prepared in English. If these Terms are translated into any other language, the English version shall prevail in case of any inconsistency or discrepancy.
26. ELECTRONIC COMMUNICATIONS
By using the Service, you consent to receive electronic communications from us, including:
- Emails to the email address you provided
- Notices posted on the Service
- Push notifications (if enabled)
These electronic communications may include:
- Account notifications
- Service updates and announcements
- Promotional offers (you may opt out of these)
- Legal notices, including changes to these Terms
You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.

If you are granted API access to our Service, additional API Terms of Use will apply. API access is subject to rate limits and usage restrictions.
27.3 Beta Features
We may offer access to beta or experimental features. These features are provided "as-is" with no warranties and may be modified or discontinued at any time without notice.
