1. Agreement to Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you") and Sidenum ("we," "us," or "our"), concerning your access to and use of the website as well as any other media form, media channel, mobile website, or mobile application related, linked, or otherwise connected thereto (collectively, the "Service").

By accessing or using the Service, you agree that you have read, understood, and agree to be bound by all of these Terms. If you do not agree with all of these Terms, then you are expressly prohibited from using the Service and you must discontinue use immediately.

2. Intellectual Property Rights

Unless otherwise indicated, the Service is our proprietary property and all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the Service (collectively, the "Content") and the trademarks, service marks, and logos contained therein (the "Marks") are owned or controlled by us or licensed to us, and are protected by copyright and trademark laws and various other intellectual property rights and unfair competition laws of Ukraine, foreign jurisdictions, and international conventions.

You are granted a limited license to access and use the Service for your personal or internal business use. You may not copy, reproduce, aggregate, republish, upload, post, publicly display, encode, translate, transmit, distribute, sell, license, or otherwise exploit any part of the Service for any commercial purpose whatsoever, without our express prior written permission.

3. Merchant of Record

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. By purchasing our products, you agree to Paddle's Checkout User Terms and Privacy Policy.

4. User Representations

By using the Service, you represent and warrant that:

  1. All registration information you submit will be true, accurate, current, and complete.
  2. You will maintain the accuracy of such information.
  3. You have the legal capacity and you agree to comply with these Terms.
  4. You are not a minor in the jurisdiction in which you reside.
  5. You will not use the Service for any illegal or unauthorized purpose.

5. Purchases and Payment

We accept various forms of payment through our reseller, Paddle. You agree to provide current, complete, and accurate purchase and account information for all purchases made via the Service. Sales tax (VAT/GST) will be added to the price of purchases as deemed required by Paddle. We may change prices at any time. All payments shall be in U.S. dollars (or other currencies supported by Paddle).

6. Refund Policy

All sales are subject to our Refund Policy, which is available on our website. Please review our Refund Policy before making any purchase.

7. Prohibited Activities

You may not access or use the Service for any purpose other than that for which we make the Service available. As a user of the Service, you agree not to:

  • Systematically retrieve data or other content from the Service to create or compile, directly or indirectly, a collection, compilation, database, or directory without written permission from us.
  • Circumvent, disable, or otherwise interfere with security-related features of the Service.
  • Engage in unauthorized framing of or linking to the Service.
  • Copy or adapt the Service's software, including but not limited to Flash, PHP, HTML, JavaScript, or other code.

TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SERVICE AND YOUR USE THEREOF, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9. Limitation of Liability

IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

10. Governing Law

These Terms shall be governed by and defined following the laws of Ukraine. Sidenum and yourself irrevocably consent that the courts of Ukraine shall have exclusive jurisdiction to resolve any dispute which may arise in connection with these Terms.

11. Corrections

There may be information on the Service that contains typographical errors, inaccuracies, or omissions, including descriptions, pricing, availability, and various other information. We reserve the right to correct any errors, inaccuracies, or omissions and to change or update the information on the Service at any time, without prior notice.
